Terms of Service

These Terms govern your use of Compass Calendar and form a binding agreement between you and Switchback Tech LLC.

The left column is the binding policy to make the lawyers happy; the right column summarizes in plain English for regular people.

Scope & Acceptance

Formal Policy. These terms apply to any Customer on the hosted Compass Calendar service. Separate terms for users of Compass FOSS can be found here: https://github.com/SwitchbackTech/compass/blob/main/LICENSE

Formal Policy. By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent you’re authorized to bind that organization. You must be at least 16 (or the age required by law in your region) to use the Service.


Accounts

Formal Policy. You agree to provide accurate information, keep your credentials confidential, and be responsible for activity under your account. We may send you service notices and administrative messages.

Fees & Usage. You will pay the then‑current fees for your selected plan as shown in your order, checkout, or quote (the “Fees”). If your use exceeds included limits (e.g., seats, storage, API calls, events) or otherwise triggers overage/usage charges under your plan, we will bill you for such additional usage and you agree to pay those amounts.

Price Changes. We may increase Fees at the end of your initial term or any renewal term with at least 30 days’ prior notice (e.g., email or in‑app). We may reduce Fees during a term at any time with notice, and the reduction applies immediately going forward.

Billing Disputes. If you believe we billed you in error, contact support within 60 days of the statement date for review and any applicable credit/adjustment.

Subscriptions. Paid plans auto‑renew unless cancelled. You can cancel anytime through your account settings. Cancellation takes effect at the end of your current billing period. Free trials automatically convert to paid plans unless cancelled before the trial expires.

Invoices & Late Fees. We may bill via credit card or, for certain plans (e.g., annual), by invoice. Invoices are due per the payment terms stated on the invoice. Unpaid amounts may accrue a finance charge of 1.5% per month (or the maximum allowed by law, if lower), plus reasonable collection costs, and may result in suspension or termination of Service.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable sales, VAT, GST, use, withholding, or similar taxes, duties, or assessments on your purchase, other than taxes based on our net income. If we are required to collect or remit such taxes, we may invoice you and you will pay the invoiced amount unless you provide a valid exemption certificate. We calculate taxes based on your billing address; you must keep it current.

Refunds. We offer refunds within 30 days of initial payment for annual plans, and within 7 days for monthly plans. Refunds are prorated for unused time. No refunds apply to renewals already processed unless required by law.

Data Retention & Deletion

Formal Policy.

Active Accounts. We retain your data as long as your account is active and as described in our Privacy Policy.

After Cancellation/Deletion. When you cancel your subscription, you retain access to paid features until the end of your billing period. We permanently delete your data, except as required by law or for legitimate business purposes.

Data Export. You can export your data anytime through your account settings or by contacting us.

Acceptable Use

Formal Policy. You will not: (a) break the law; (b) infringe IP or privacy; (c) upload malware or harmful code; (d) attempt to access the Service without authorization or disrupt others; (e) reverse‑engineer or circumvent technical protections except where permitted by law; or (f) misrepresent identity or affiliation.

Your Brand

Formal Policy. You retain ownership of your content. You grant us a limited license to host, process, transmit, and display your content as needed to operate the Service and at your direction (including sharing with collaborators you choose). We and our licensors retain all rights, title, and interest in the Service, software, and trademarks. Submissions or feedback may be used to improve the Service without obligation to you.

Publicity (B2B optional). If you are a business customer, you grant us a limited, revocable right to use your name and logo to identify you as a customer on our website, in customer lists, and in pitches, presentations, or case studies, provided: (i) we follow any brand guidelines you supply in writing; (ii) we do not disclose your confidential information; and (iii) no endorsement is implied. You may opt out or revoke this permission at any time by emailing hello@switchback.tech, and we will cease new uses within a reasonable period and remove reasonable references going forward.

Intellectual Property

Formal Policy. We (and our licensors) retain all rights to the Service, software, documentation, and brand. This Agreement does not transfer ownership. You assign or grant us a perpetual, worldwide, royalty‑free license to use feedback and suggestions to improve the Service. You will not remove or alter proprietary notices, and you will not use or register our trademarks without permission.

Proprietary materials. Except for third‑party/open‑source components that are clearly identified and licensed under their own terms, all non‑OSS portions of the Service — including the marketing website (landing pages), user interface, layouts/workflows, copy, images, and other visual design — are proprietary. You may not copy, mirror, reproduce, publicly display, distribute, or create derivative works from these materials without our prior written consent. Scraping, automated harvesting of content, or replication of distinctive look‑and‑feel is not allowed.

Permissible references. You may link to public pages, and you may use unaltered screenshots for reviews/press with reasonable attribution and without modifying or obscuring our trademarks.

Third‑party and open‑source components remain subject to their respective licenses.

Privacy & Security

Formal Policy. We handle personal data as described in the Privacy Policy (including GDPR lawful bases). We implement administrative, technical, and physical safeguards. If legally required, we will notify you of security incidents without undue delay.

Third‑Party Services

Formal Policy. The Service may link to or integrate with third‑party products. Those providers are responsible for their services and policies. See our Subprocessors page for vendors we use to operate the Service.

Termination

Formal Policy. You may stop using the Service at any time. We may suspend or end access if you materially breach these Terms, pose a risk, or as required by law. Upon termination, your right to use the Service ends, but sections intended to survive (e.g., IP, disclaimers, liability limits) continue.

Changes & Availability

Formal Policy. We may modify the Service and these Terms. For material changes, we’ll provide reasonable notice (e.g., in‑app or email). Continued use after the effective date constitutes acceptance. We strive for availability but do not guarantee uninterrupted or error‑free operation.

Disclaimers & Liability

Formal Policy. To the fullest extent permitted by law: the Service is provided “as is” and “as available”; we disclaim warranties of merchantability, fitness for a particular purpose, and non‑infringement; our aggregate liability for claims relating to the Service is limited to amounts paid by you to us for the Service in the 12 months before the claim (or $0 if free). Some jurisdictions do not allow certain limits; those limits apply only where lawful.

Governing Law

Formal Policy. These Terms are governed by the laws of Wisconsin, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Wisconsin.
